A matt water-borne hydroxyl acrylic dispersion was prepared by drop wise adding amixed solution of methyl methacrylate，butyl acrylate，hydroxyethyl methacrylate，styrene，acrylic acid and an initiator into a pre-prepared solution of glycidyl ester of versatic acid（E10P）and tetrabutyl titanate，and reacted in two steps by bulk polymerization，which was then neutralized with alkali and dispersed with water. The prepared resin was cured with waterborne polyisocyanate curing agent to form a film，and the properties were tested. The results showed that the in-housemade aqueous hydroxy acrylic dispersion provided good comprehensive physical properties，and good water and solvent resistance. The gloss（60°）of clearcoat was between 50~60，with excellent matting effect.
